Vote to appoint Carolyn Miller to the Chatham Library Foundation Board of Directors
Abstract
Introduction & Background: Back in 2008, the Chatham Library Foundation was established as a private organization whose mission was to conduct fundraising activities in order to accumulate and disburse donated funds to the Chatham County Public Library System, a department of Chatham County government.
Discussion & Analysis: According to the by-laws of the Foundation, the board of directors is comprised of three (3) appointed members, one appointed by the (then) Pittsboro Friends of the Library, one by the Chatham County Library Advisory Board, and one by the Chatham County Board of Commissioners.
According to what records we can find, this group had one scheduled meeting prior to incorporation on June 3, 2008, but no record of the meeting exists beyond the preparatory emails.
On July 1, 2010, then trustee Judith Peterson sent a check to Chatham County “for $10,000 for the Chatham County Library Foundation.” This money has been retained by Chatham County, annually reported to the Internal Revenue Service and in our annual audit, and is earmarked for use by the library system. Unfortunately, because the board as it is detailed in the by-laws and articles of incorporation does not exist, this money cannot be disbursed for use by the library system.
After much research, it was determined that the first step would be to reconstitute the board of directors of the Chatham Library Foundation. In accordance with the by-laws and in order to facilitate the distribution of these monies, it is recommended that Carolyn Miller be appointed to serve as the BOC appointment.
